A.  These Terms and Conditions for Peer-to-Peer (hereinafter known as “P2P Terms”) shall govern and be effective in regards to every P2P Account registered, maintained or otherwise operated with WEEX. These P2P Terms shall also be construed to be applicable towards the provision and usage of P2P services. By accessing, registering and/or using any of the services provided by WEEX to perform a P2P Transaction, you are deemed to have fully read, understood and accepted the terms herein. If you do not agree with all the terms or any of the terms herein, do not proceed with the usage of WEEX’s P2P services.

B.  These P2P Terms shall be read together with the Terms of Use, other existing terms, statements and policies issued by WEEX, including but not limited to WEEX’s Risk Warning Statement. However, in the event of any conflict, discrepancy and/or inconsistency, these P2P Terms shall prevail and take precedence in relation to the P2P Services to the extent of the conflict, discrepancy and/or inconsistency.

C.  This version of P2P Terms shall be effective and deemed to have overridden the prior version(s). You agree and authorize WEEX to amend these P2P Terms whenever deemed fit, provided that such amendment has been notified to you by way of circulation and/or publication by WEEX on its website, platform(s) or through any agreed communication means.

D.  For the avoidance of doubt, these P2P Terms shall not be applicable in the event users obtain P2P Transaction services from any companies under the Group in jurisdiction(s) where a distinct and specific set of terms and conditions (hereinafter known as “Regional Terms”) is in existence and/or available on the Platform to govern such relationship. In such circumstances, the Regional Terms shall apply.

 

(1) Definitions and Interpretation

“Advertiser” means a user who publishes an Advertisement for the sale or purchase of any Digital Asset on the WEEX Platform.

“Advertisement” means an offer published on the P2P Service at the WEEX Platform specifying the amount of Digital Assets to be traded, the price, the preferred Payment Method, the Order Limit, the Payment Window, and any other terms and conditions as determined by the User publishing the offer.

“Buyer” means a user who uses the P2P Service on the WEEX Platform to purchase Digital Assets from an Advertiser or Seller.

“Manifest Error” shall have the meaning as defined in Clause 3 (r) (i) of the P2P Terms.

“Order(s)” means a binding agreement to trade Digital Assets on the WEEX Platform, formed when the Advertiser and Buyer agree to the terms and conditions set forth in the relevant Advertisement. An Order constitutes acceptance of the offer to trade as published in an Advertisement.

“Order Limit” means the minimum and maximum amount of Digital Assets or fiat currency that may be traded in a single Order, as specified by the Advertiser in a particular Advertisement.

“P2P Service” means a feature provided on the WEEX Platform that enables Users to trade Digital Assets directly with other Users. Users may utilize the P2P Service on the WEEX Platform to buy or sell Digital Assets as an Advertiser, Seller, or Buyer.

“Payment Method” refers to any instrument, method, or mechanism accepted and belonging to the User for the transfer of funds or value between Users in connection with the P2P Services, including but not limited to Fiat Currencies, electronic money, payment cards, bank transfers, and other payment methods supported by the Platform from time to time. WEEX does not have any form of relationship with the Payment Methods listed on WEEX P2P. Availability of a Payment Method on WEEX P2P shall not be construed as a recommendation, vetting or endorsement by WEEX.

“Payment Window” means the time period established by the Advertiser within which the fiat currency transfer must be completed in consideration for the Digital Assets.

“Rectification Rights” shall have the meaning as defined in Clause 3 (bb) of the P2P Terms.

“Seller” means a user who uses the P2P Service on the WEEX Platform to sell Digital Assets to an Advertiser or Buyer.

“Supervening Events” shall have the meaning as defined in Clause 3 (aa) of the P2P Terms.

“Trading Limits” shall have the meaning as in the context of P2P Transactions, the WEEX may impose or otherwise implement risk and/or credit limits which may apply generally or specifically to you, to all or certain Digital Assets only in regards of the Orders and/or P2P Transactions (hereinafter known as “Trading Limits”).

All capitalised terms used but not defined herein shall have the meaning ascribed to them in the WEEX Terms of Use available on the Platform.

 

(2) Steps in completion of P2P transactions

(a) Buy of Cryptocurrency

(i) Selection of Advertisement

The Buyer shall select an advertisement reflecting the preferred price and Payment Method. The Buyer shall specify the quantity of cryptocurrency to be purchased and the corresponding transaction amount in order to initiate and complete the order.

(ii) Payment to Seller

The Buyer is required to remit payment to the Seller utilizing the Payment Methods indicated in the advertisement. Upon completion of the fiat currency transaction, the Buyer shall confirm payment by selecting the option on the WEEX P2P platform.

(iii) Receipt of Cryptocurrency

Upon confirmation of receipt of payment, the Seller shall release the corresponding cryptocurrency to the Buyer. The Buyer may access and review the received cryptocurrency in their designated fiat account.

(b) Sale of Cryptocurrency

(i) Selection of Advertisement

The Seller shall select an advertisement reflecting the preferred price and Payment Method. The Seller shall specify the quantity of cryptocurrency to be sold and the corresponding transaction amount in order to initiate and complete the order.

(ii) Confirmation of Payment

The Seller shall verify the receipt of payment in the designated payment account by reviewing the relevant transaction records and ensuring that the funds have been received from the Buyer.

(iii) Release of Cryptocurrency

Upon confirmation of receipt of payment, the Seller shall release the agreed-upon quantity of cryptocurrency to the Buyer through the WEEX P2P platform. 

 

(3) Use of P2P Transactions 

(a) Unless agreed otherwise, both parties shall enter into P2P Transactions as principals. You can buy or sell, or advertise your intention to buy or sell Digital Assets via P2P Service at WEEX Platform. You hereby agree and confirm that you will enter into P2P Transactions in your own capacity as a principal and not on behalf of any other party as an agent unless agreed by both parties. WEEX’s obligations under these P2P Terms shall be towards you solely and WEEX shall not assume any duties and/or obligations to any other third parties. The fact that WEEX may have been made aware of such third parties is irrelevant in the operation of this clause. 

(b) You may act as an Advertiser and, in such capacity, may publish an offer on the WEEX P2P Service to buy or sell Digital Assets through an Advertisement. Unless expressly provided otherwise by WEEX, Advertisers are not subject to any fees when trading on WEEX P2P. Notwithstanding anything to the foregoing, WEEX reserves the right, at its sole discretion, to charge Advertiser fees if there is any change of policy, and further reserves the right to introduce or amend such fees from time to time. The ability to publish an Advertisement on the WEEX Platform via the P2P Service may be subject to certain requirements and eligibility criteria, as determined and amended by WEEX at its discretion. You shall not include or disclose any personal information, social media or social network details, or other contact information in the terms and conditions of any Advertisement, or otherwise share such information when transacting with other Users on the WEEX P2P Service. You shall be solely liable and fully responsible for any and all information that you disclose or transmit through WEEX P2P. WEEX shall bear no responsibility or liability whatsoever for any losses or damages incurred as a result of any such information being shared.

(c) You may participate as either a Buyer or a Seller of Digital Assets on the WEEX Platform’s P2P Service, irrespective of whether you are acting in the capacity of an Advertiser or otherwise. You shall not use or incorporate the term “WEEX,” the names of any banks or payment service providers, or any other words or expressions that may be misleading or sensitive, into your username.

(d) You acknowledge and agree that, by submitting an Order in response to an Advertisement, you are accepting the offer set forth in such Advertisement and thereby undertake an obligation to transact in Digital Assets. Upon placement of the Order, WEEX shall lock the quantity of Digital Assets specified in the Order, and such assets shall remain restricted until both parties to the transaction have confirmed the successful completion of the corresponding fiat currency transfer. You further acknowledge and agree that the locked Digital Assets shall not be accessible or utilized in any manner unless the Order is cancelled or the Digital Assets are released to the Buyer upon confirmation of receipt of the fiat currency transfer by the Seller.

(e) You acknowledge and agree that WEEX is not a party to any transaction conducted via the P2P Service on the WEEX Platform, and that all transactions are entered into directly between you and other Users. WEEX does not exercise control over the transaction amount, price, Payment Method, order limits, payment windows, or any other terms and conditions of any Advertisement, as these are determined and managed solely by the Advertiser at their discretion. WEEX acts solely as a facilitator for transactions conducted between Users through the P2P Service on the WEEX Platform and, accordingly, does not guarantee, represent, or warrant the completion of any transaction.

(f) The Payment Methods available on the WEEX Platform are presented as options for Users to facilitate fiat currency transfers in connection with the trading of Digital Assets under the Service. Unless expressly stated otherwise, WEEX does not maintain any relationship with the Payment Methods listed on the WEEX Platform. The inclusion of a Payment Method on the WEEX Platform shall not be construed as a recommendation, endorsement, or verification by WEEX.

(g) WEEX does not recommend using any sensitive words or phrases related to Digital Assets in the remarks field/section when making fiat payments or transfers between Payment Methods. This includes without limitation words or phrases like “USDT”, “Cryptocurrency”, and “WEEX purchase”. WEEX shall not be held liable if a transaction fails, is cancelled or any funds are frozen by third parties because you have used any sensitive words or phrases related to Digital Assets.

(h) In order to engage in trading via the P2P Service, each Advertiser must specify one or more Payment Methods for their Advertisements, which must be among those available under the Service on the WEEX Platform, thereby enabling other Users to place Orders for such Advertisements. The selected Payment Methods shall be agreed upon between the Advertiser and the User wishing to complete a transaction, utilizing one of the Payment Methods indicated by the Advertiser for the fiat currency transfer in consideration of the Digital Assets.

(i) Each party participating in trading via the P2P Service must utilize a Payment Method with an account owner name that matches the name registered on their WEEX Account, as confirmed during the identity verification process. The use of any Payment Method where the account owner name does not correspond to the name on your WEEX Account is strictly prohibited. By using the P2P Service, you confirm that any and all Payment Methods you use belong to you and are under the same name of your WEEX Account. WEEX reserves the right to suspend or terminate your access to the P2P Service or any other services provided by WEEX if it is determined that you have used a Payment Method with an account owner name that does not match your WEEX Account.

(j) You acknowledge and agree that, by placing an Order in response to an Advertisement as either a Buyer or a Seller, you authorize WEEX to display your username or merchant name and to share your full name, as confirmed during the identity verification process of your WEEX Account, with the counterparty User in the transaction.

(k) When transferring a payment to the Seller’s bank account or other fiat Payment Method, you shall be responsible in verifying that the Seller’s name is identical to his or her name verified and registered on WEEX Platform. WEEX shall not be responsible for any losses or liability arising from your error in verification or failure to verify the Seller’s identity prior to transfer of payment.

(l) If you are acting as a Buyer, you are required to complete the fiat currency transfer in consideration for the Digital Assets after placing an Order, within the Payment Window specified in the Advertisement. The fiat currency to be transferred to the Seller will not be deducted by WEEX; you are solely responsible for executing the transfer independently, outside of the P2P Service, using one of the Payment Methods specified in the Advertisement. Upon completion of the fiat currency transfer, you must confirm the transfer by selecting the “Payment completed” button or any other similar option. Repeated cancellation of Orders after placement, or repeated automatic cancellation of your Orders due to failure to make the fiat currency transfer within the Payment Window, may result in loss of access to all or part of the P2P Service. WEEX reserves the right, at its sole discretion, to suspend or terminate any User’s access to the P2P Service.

(m) If you are a Seller, you are solely responsible for verifying the receipt of the fiat currency transfer from the Buyer as consideration for the Digital Assets and for instructing WEEX to release the Digital Assets for which an Order has been placed. To release such Digital Assets, you must select the “Release Crypto” option or any other similar option only after you have received the full fiat currency payment from the Buyer. It is recommended that you confirm the release of Digital Assets within fifteen (15) minutes, or in any event, within a reasonable period after receiving full payment from the Buyer. By selecting “Release Crypto” or any other similar option, you confirm that you have successfully received the fiat currency from the Buyer and you are instructing WEEX to release the Digital Assets held in escrow to the Buyer in fulfilment of the Order. This action is final and cannot be reversed. To avoid financial loss, you must not confirm the release of Digital Assets under any circumstances until you have ensured receipt of the full fiat currency payment from the Buyer. All payments are final upon completion, except as otherwise required by law. If the account holder information of the Buyer, as seen on the Payment Method used for the fiat currency transfer, is inconsistent with the Buyer’s verified identity information on WEEX, you must not release the Digital Assets and should refund any fiat currency received. Repeated failure to confirm the release of Digital Assets in a timely manner, despite receipt of the fiat currency transfer from the Buyer, may result in loss of access to all or part of the P2P Service.

(n) By trading on the WEEX Platform via the P2P Service, the Buyer agrees to bear any transfer fees imposed by the relevant payment service provider for the Payment Method selected by the parties for the fiat currency transfer in consideration for the Digital Assets, unless the Seller has expressly agreed to bear such additional fees or costs. Accordingly, the fiat currency amount to be transferred by the Buyer must include any applicable transfer fees to ensure that the Seller receives the full fiat currency amount specified in the Order (for example, if the order amount is 10,000 USD and the payment service provider charges an additional 5 USD, the Buyer must transfer 10,005 USD rather than 10,000 USD). If such transfer fees are charged by the payment service provider to the Seller, the Seller must clearly disclose these fees in the Advertisement (if acting as the Advertiser) or provide the Buyer with proof of such fees. Fees may be charged by payment service providers, including but not limited to banks and e-wallets, in connection with fiat currency transfers between the parties, and each party agrees to bear such fees charged by their respective service providers at their own cost.

(o) You may be subject to a waiting period of up to fifteen (15) days to withdraw Digital Assets purchased via the Service on the WEEX Platform if you have engaged in transactions involving certain fiat currencies, certain Digital Assets, or certain jurisdictions as determined by WEEX in its sole discretion. The waiting period shall commence upon the release of the Digital Assets to you. Any other trading activities you undertake with your WEEX Account shall not be affected during this withdrawal waiting period.

(p) Unless expressly provided otherwise by WEEX, both Advertisers and Takers are not subject to any fees when trading on WEEX P2P. Notwithstanding anything to the foregoing, WEEX reserves the right to impose a service fee for processing any transaction via the P2P Service on the WEEX Platform if there is any change of policy. Additionally, payment service processors may charge a transfer fee when processing fiat currency payments for any transaction between Buyer and Seller under this P2P Service. Applicable service fees and transfer fees, if any, shall be published on the WEEX Platform and may be amended by WEEX from time to time.

(q) You should never engage in any form of P2P transactions, nor communicate with the other party, nor initiate any action on the P2P Service on the WEEX Platform that is facilitated by a third-party channel, such as social media, chat messaging apps, or face-to-face trading. WEEX shall not be held liable for any loss of or damages to your assets through transactions that are performed or initiated outside of the Platform.

(r) You will have access to review your account history on the WEEX Platform. You are required to examine your account history carefully and promptly notify WEEX of any entries or transactions that you do not recognize or believe to be incorrect. WEEX may correct any error in your account history at any time and reserves the right to void or reverse any transaction:

(i) that involves or results from a manifest error, meaning any error, omission, or misquote—whether by WEEX or any third party—that is manifest or obvious, including misquotes by WEEX representatives based on current market conditions or advertised quotes, or any error in information, sources, official results, or announcements (“Manifest Error”); or

(ii) to reflect what WEEX reasonably considers to be the correct or fair details of the transaction.

(s) WEEX may be required under applicable laws and regulations to disclose information regarding your accounts and your use of the WEEX Platform to third parties. You acknowledge and agree that WEEX is entitled to make such disclosures.

(t) As WEEX is not a party to any transaction or trade between the Buyer and the Seller, WEEX has neither the right nor the obligation to resolve any dispute between the Buyer and the Seller and shall not be liable for any loss you may incur in connection with a completed payment. However, as a gesture of goodwill, if a dispute arises during a trade via the P2P Service that the parties are unable to resolve amicably, WEEX may, at its discretion, provide a channel or mechanism to facilitate resolution between the Buyer and Seller. In this regard, WEEX may offer both parties the opportunity to file an appeal to resolve the dispute. WEEX does not represent, undertake, or guarantee that it can resolve any dispute to the satisfaction of both parties and acts solely as a mediator. WEEX reserves the right to suspend or terminate access to the P2P Service or any other WEEX service if any User is uncooperative during the mediation process. Repeated posting of Advertisements that result in multiple disputes may result in the loss of access to all or part of the P2P Service or any other WEEX service. WEEX reserves the right to make final interpretations and judgments regarding the adjudication or sanctioning of any case. Whether to reopen or accept a case will be determined by WEEX on a case-by-case basis and at its sole discretion.

(u) You may be requested to provide a rating and/or feedback for a counterparty to share your experience in any transaction or trade under the P2P Service on the WEEX Platform. The rating and feedback mechanism is intended to foster a transparent environment for all Users, and such ratings shall be visible to any User trading via the P2P Service on the WEEX Platform. If your rating falls below an acceptable threshold, as determined by WEEX in its sole discretion, you may lose all or part of your access to the P2P Service or other services provided by WEEX.

(v) When using the P2P Service, you may access certain content or utilize services provided by third parties, including hyperlinks to third-party websites, mobile applications, and related services (“Third Party Content”). WEEX does not endorse, approve, adopt, or control any such Third Party Content and shall bear no responsibility or liability for such content under any circumstances. Your interactions or correspondence with third parties are solely between you and the relevant third parties. WEEX shall not be liable for any loss, damage, or claim arising from your dealings or interactions with any third party or in relation to any Third Party Content, and you acknowledge and agree that you assume all associated risks. 

(w) You acknowledge and agree that WEEX is not providing any advice which includes but not limited to accounting, legal, tax, execution of the transactions, profitability or suitability of the transaction, investment or decision in regards of the P2P Transactions. You are recommended and are deemed to have taken all necessary steps and diligence (including seeking independent and professional advice) to understand the nature and the risks which may be involved in making transactions. Any decision made by you shall be considered your own independent decision without any reliance whatsoever to WEEX. 

(x) You are aware that you may be subject to legal requirements which may include reporting and taxation requirements in certain jurisdictions. You agree that you have the sole responsibility to keep yourself informed and adhere to such applicable laws and regulations in regards of the P2P transactions entered by you. WEEX shall not be responsible for your failure to do so and does not provide any support and assistance for your compliance, save to the extent required under the law. 

(y) You acknowledge and agree that WEEX may impose or otherwise implement risk and/or credit limits which may apply generally or specifically to you, to all or certain Digital Assets only in regards of the trading Instructions, Orders and/or P2P Transactions (hereinafter known as “Trading Limits”). WEEX’s right to determine the implementation is absolute and includes the right to amend, maintain and/or remove the Trading Limits. In connection hereof, you undertake to supply and provide all data and information requested which WEEX deems reasonably relevant and necessary to fix appropriate Trading Limits. 

(z) In the event you have contravened or exceeded the Trading Limits applicable, you acknowledge and agree that WEEX has the sole and absolute discretion to amend, cancel or otherwise reject such Instructions, Orders and/or P2P Transactions.

(aa) You hereby agree that the following events shall constitute Supervening Events:- 

(i) When WEEX at its absolute discretion determines that one or more bid price or offer price or both of one or more executed P2P Transactions are substantially different or inconsistent from the prevailing market value of the impugned P2P Transactions at the executed time;

(ii) When WEEX determines that any of the executed P2P Transactions are erroneous in nature, including but not limited to situations where a bid price has been inadvertently presented as an offer price and vice versa;

(iii) Where WEEX has any reason to believe or suspect that the P2P Transaction was entered by you with dishonest or improper intent including but not limited to attempting to manipulate the market, capitalising or otherwise exploiting the event where the bid price or offer price or both of a P2P Transaction is materially different from prevailing market prices and/or taking unfair advantage of WEEX’s system or platform; and/or

(iv) Otherwise, when a Manifest Error has been committed in any part of a P2P Transaction.

(ab) In the case of one or more Supervening Events taking place or has taken place, you hereby absolutely and irrevocably authorise WEEX to exercise the following rights (“Rectification Rights”), so far as allowed by applicable laws in good faith:-

(i) To cancel or reverse such P2P Transactions (including reversal of any Digital Assets transfer made in your Account) and such P2P Transactions shall be deemed as if they have never been entered; or

(ii) Amend and/or vary the price of said P2P Transaction to be consistent with prevailing market prices at the material time or at the price as if a Manifest Error has not occurred.

 

(4) Suspension of access to P2P Service and Termination 

(a) Subject to our WEEX Terms of Use, WEEX may stop, suspend or cancel your access to the WEEX Platform, impose limits to any WEEX accounts, suspend or cancel your ability to participate in the Service, or delay certain transactions where:

(i) you do not provide additional information to verify your identity or source of funds as requested by WEEX;

(ii) WEEX is required to do so by court order, to comply with any Applicable Laws and Regulations (including anti-money laundering or sanctions laws);

(iii) WEEX is required to do so to comply with any direction or instruction from a government body or agency;

(iv) WEEX reasonably determines that any information you have provided to WEEX is wrong, untruthful, outdated or incomplete; or

(v) you do not provide additional information that we request to our reasonable satisfaction or in a timely manner.

(b) You acknowledge and agree that WEEX’s decision to take certain actions, including limiting, suspending, or terminating your access to P2P Service or your WEEX Account may be based on confidential criteria that are essential to our risk management and security protocols, including but not limited to circumstances in which we are unable to provide you with information about the reasons for such limitation, suspension or termination, whilst an investigation is ongoing (by us and/or a third party such as the law enforcement agencies). You agree that WEEX is under no obligation to disclose the details of its risk management and security procedures to you. WEEX shall restore your access to the Service as soon as possible once the reasons for the suspension no longer exist, but in any event, WEEX shall have no obligation to notify you if and when such suspension will be lifted, or WEEX shall have no guarantee, undertaking or promise to uplift such suspension.

(c) In addition to any other rights the WEEX may have under these P2P Terms, WEEX may, in its sole discretion:

(i) remove any product or services from the scope of the P2P Services from time to time; or

(ii) terminate these P2P Terms

by providing notice through WEEX application and/or the website.

(d) WEEX may, at its sole discretion, with or without notice:

(i) cancel any open Order at the date and time the product or services ceases to be made available, or at which these P2P Terms are terminated;

(ii) cancel, refuse to execute or otherwise terminate any Order (regardless of confirmation status of such Order), on reasonable grounds solely determined by WEEX; and

(iii) take such steps, or require you to take such steps, as the WEEX considers necessary for the purpose of protecting itself against risk of loss and maintaining the integrity of WEEX’s P2P Services.

(e) You agree that the WEEX may exercise its rights under foregoing clause without any liability or loss to the WEEX, and that you will not hold the WEEX liable for any loss arising from action taken or inaction, or steps required, by WEEX under this clause.

 

 (5) Warranties and Representations 

(a) Supplemental to and without prejudice to the warranties and representations which may have been made by Parties in the Terms of Use and other applicable terms and rules issued by WEEX, you hereby give the following warranties and representations to WEEX that:-

(i) You have read and is fully capable to understand the P2P Terms hereof and agree to be legally bound by the same;

(ii) You are fully aware and have evaluated all the risks sufficiently which may arise in the P2P Transactions. By proceeding to issue Instructions or by deciding to proceed with each P2P transactions, you agree to bear the risks solely;

(iii) You are acting in your sole capacity and will be making only independent decisions when entering into P2P Transactions without reliance whatsoever to WEEX’s statements, communications and/or explanations which may have been provided in regards of the P2P Transactions;

(iv) You are not restricted, barred or otherwise prohibited in entering into any P2P Transactions under any applicable law and regulation and/or by any of the Relevant Authorities. In the event of misrepresentation and/or breach of warranty by you, you undertake to fully indemnify and save harmless WEEX from all demands and claims arising from and incidental thereof;

(v) You shall not use the Service for any unlawful purposes, including but not limited to illegal gambling, money laundering, fraud, extortion, data breaches, terrorist financing, violent activities, or any other business activities prohibited by law;

(vi) You shall not engage in, initiate, or promote any form of market manipulation, price manipulation, pump and dump, wash trading, front running, insider trading, market distortion, or any other malicious conduct affecting the market, nor shall you participate in any other illegal activities, including but not limited to illegal gambling, money laundering, fraud, extortion, data breaches, terrorist financing, violent activities, or any other business activities prohibited by law;

(vii) if you are registering for the Service in your personal capacity, you must be at least eighteen (18) years old, possess full civil rights and capacity, and have all necessary authority and ability to enter into this P2P Terms, which shall be binding upon you once accepted;

(viii) if you are registering to use the Service on behalf of a legal entity, you represent and warrant that such entity is duly organized, validly existing under applicable law, and that you are duly authorized to act on its behalf and to bind it to this P2P Terms;

(ix) this P2P Terms does not conflict with the laws of your country or region, and you undertake to comply with all applicable laws and regulations of your jurisdiction;

(x) you are the lawful owner of all Digital Assets in your WEEX Account and guarantee that the sources of these Digital Assets are lawful.

(xi) These P2P Terms have been drafted in English. Although translations in other languages of these P2P Terms may be available, such translations may not be up to date or complete. Accordingly, you agree that in the event of any conflict between the English language version of these P2P Terms and any other translations thereof, the English language version shall prevail. 

 

 (6) Disclaimers 

(a) You have been made aware of the risks that may result from entering into P2P Transactions and/or using any of the P2P Services and agree, in absence of bad faith and fraud, to the full assumption of loss and liability resulting from or incidental to such use. 

(b) You acknowledge, agree and accept that:- 

(i) WEEX does not guarantee the liquidity in any Digital Asset and that WEEX does not have any control over the liquidity of such Digital Asset;

(ii) WEEX may exercise its rights under any of this P2P Terms to amend, vary, cancel or otherwise reverse any of the P2P Transactions (and this may cause the dissipation of Digital Assets in your Account);

(iii) If you fail to adhere to the Trading Limits, WEEX may invoke its rights under this P2P Terms hereof and this may cause loss to you;

(iv) There is a possibility of Manifest Errors in the P2P Transactions and possibility that there could be delay or failure in transmission of Instructions, Orders or execution through the platform or the agreed communication means; and

(v) The nature of P2P Transaction concerns numerous risks and volatility and losses can result from the same.

(vi) As P2P transactions are conducted directly between two users, Buyers and Sellers are matched on the WEEX Platform, and both parties are required to verify their identities through real-name authentication.

(vii) Your use of the P2P Service, and any information, materials, or other content (including that of third parties) included in or accessible through the P2P Service, is entirely at your own risk. WEEX’s sole responsibility is to facilitate the Digital Asset transaction processed on the WEEX Platform. All payments are final upon completion unless otherwise required by law. WEEX has neither the right nor the obligation to resolve any dispute or claim arising from a completed payment and shall not be liable for any losses resulting from or related to a completed payment.

(viii) The Buyer or Seller may contact you directly to verify your identity or to request additional information necessary to confirm the transaction and/or payment. Such communications or exchanges of information may occur outside the WEEX Platform and are not managed or controlled by WEEX. WEEX shall not be responsible for any losses you may incur as a result of such communications between you and the Buyer or Seller.

(ix) Third parties, including but not limited to verification service providers, escrow agents, payment providers, custodians, and/or banking partners, may be involved in any P2P Service or transaction. You may be subject to the terms and conditions imposed by these third parties. WEEX shall not be liable for any losses arising from or related to the involvement or actions of any such third parties.

(x) All data collected, processed, and stored in connection with the use of our P2P services shall be handled in strict accordance with our WEEX Privacy Policy available on the Platform. This includes, but is not limited to, personal information, transaction details, and any other data provided by users during their interaction with our services.

(c)Technology Disclaimers. You acknowledge and agree that:-

(i) WEEX may, from time to time, suspend access to your WEEX accounts, the WEEX Platform, the Service, and/or any other WEEX services for scheduled or emergency maintenance. WEEX will use reasonable efforts to ensure that transactions on the WEEX Platform are processed in a timely manner; however, WEEX makes no representations or warranties as to the duration required to complete such processing, as this is subject to numerous factors beyond WEEX’s control.

(ii) While WEEX endeavours to keep the information on the WEEX Platform current, WEEX makes no representations, warranties, or guarantees, whether express or implied, that the content on the WEEX Platform—including information relating to the Services and any other WEEX services—is accurate, complete, or up to date.

(iii) You are solely responsible for obtaining the necessary data network access to utilize the Services or any other WEEX services. You are also responsible for procuring and maintaining compatible hardware or devices required to access and use the Service, any WEEX services, the WEEX Platform, and any related updates. WEEX does not guarantee that any of its services, or any portion thereof, will function on any specific hardware or devices. The WEEX services may be subject to malfunctions and delays that are inherent in the use of the internet and electronic communications.

(d) Risk of trading in cryptocurrency. Trading in cryptocurrency involves significant risk and may result in the loss of your invested capital. It is a high-risk activity and may not be suitable for the general public, as the prices of cryptocurrency are subject to sharp, speculative swings. You must ensure that you fully understand the risks involved and take into consideration your level of experience, investment preference, risk appetite, investment objectives, and financial circumstances, and you should seek independent financial advice if necessary. If you do not agree with or understand WEEX P2P Services, please do not use or access our products or services. You acknowledge, agree, and accept that you assume all risks and potential losses associated with your use of the P2P Service, including but not limited to: any loss resulting from your inability to trade Digital Assets, and you are willing to bear the funding risks and possible financial losses arising from depositing Digital Assets and subscribing to the Service; the possibility that high price volatility of digital assets and their derivatives may lead to significant or total losses within a short period; the occurrence of technical anomalies that may delay or prevent your use of the P2P Service or execution of related transactions, potentially resulting in losses of your digital assets; the risk of market anomalies that may cause losses to your digital assets; and the understanding that, in order to maintain the overall health of the market, WEEX may, at its sole discretion, add, remove, or amend policies, the terms of this P2P Terms, or other relevant service agreements or terms from time to time, and such changes may either benefit or adversely affect individual customers, including yourself.

 

(7) Prohibited Conduct and Enforcement Measures 

(a) You acknowledge and agree that WEEX strictly prohibits any form of unfair trading practices. WEEX reserves the right to exercise control over your account, including the suspension or termination of your account, should you engage in any of the following activities:

(i) Market manipulation, price manipulation, insider trading, market distortion, or any other malicious or wrongful conduct;

(ii) Causing harm to other Users or to WEEX by exploiting vulnerabilities in the Service or through other unreasonable means;

(iii) Participating in activities that WEEX deems detrimental to the market;

(iv) Violating any applicable laws or regulations.

(b) To mitigate any adverse impact on the overall market, WEEX retains the sole discretion to take such measures as it deems appropriate, including but not limited to closing your account, restricting your activities, or cancelling your orders. You understand and agree that WEEX shall not be liable for any losses (including, without limitation, direct or indirect losses, actual losses, or loss of potential profits) that you may incur as a result of the implementation of these measures.

(c) You acknowledge and agree that WEEX reserves the right to disclose your contact information to any regulatory authority and/or law enforcement agency in the event that WEEX has reasonable grounds to suspect that your WEEX Account is being utilized for any illegal, fraudulent, or unauthorized activities.

 

(8) Indemnification 

(a) In addition to any indemnity obligations set forth in the Terms of Use, you shall take all reasonable measures to protect WEEX from any damages arising from your use of the P2P Service or from any other actions related to your WEEX Account. Should you fail to do so, you shall be liable to WEEX.

(b) You hereby agree to defend, indemnify, and hold harmless WEEX from and against any demands, claims, losses, and/or damages (including legal fees and any fines, fees, or penalties imposed by any regulatory authority) asserted or incurred by any third party against WEEX as a result of, or arising out of, your breach of these P2P Terms, your improper use of the P2P Service, your violation of any law or the rights of any third party, and/or the actions or omissions of any third party to whom you grant permission to use your WEEX Account or to access our website, software, systems (including any networks and servers used to provide any of the P2P Services) operated by us or on our behalf, or any of the P2P Services on your behalf.
