These Terms and Conditions for Peer-to-Peer (P2P) Merchants (hereinafter known as the “P2P Merchant Agreement”) constitute a contract between you and WEEX, governing your access to and use of the WEEX services as a Merchant. Throughout this P2P Merchant Agreement, references to “we”, “us” and “our” means WEEX and its affiliates.
This P2P Merchant Agreement is an integral part of the WEEX P2P Terms and Conditions (the “P2P Terms”) and the WEEX Terms of Use.
By participating in P2P transactions on the WEEX Platform, and registering as a Merchant, you confirm that you have read, understood, and accepted this P2P Merchant Agreement, the P2P Terms, and the WEEX Terms of Use and other existing terms, statements and policies issued by WEEX, including but not limited to WEEX’s Risk Warning Statement. However, in the event of any conflict, discrepancy and/or inconsistency, this P2P Merchant Agreement shall prevail and take precedence in relation to the P2P Services to the extent of the conflict, discrepancy and/or inconsistency. You also agree to be bound by and comply with the provisions contained therein. If you do not fully understand and agree to any part of this P2P Merchant Agreement, you should not use the WEEX P2P service.
This version of P2P Merchant Agreement shall be effective and deemed to have overridden the prior version(s). You agree and authorize WEEX to amend this P2P Merchant Agreement whenever deemed fit, provided that such amendment has been notified to you by way of circulation and/or publication by WEEX on its website, Platform(s) or through any agreed communication means.
1. Definitions and Interpretation
(a) “Merchant(s)” refers to a verified and approved User on WEEX, who is responsible for processing deposit requests (where Users deposit Digital Assets or fiat currency into their wallet) and withdrawal requests (where Users withdraw fiat currency to their Payment Method or Digital Assets).
(b) “Merchant Services” refer to the services provided by WEEX to support you as a Merchant. These services include but are not limited to, access to and use of the WEEX Platform, exchange and transfer services, associated applications, tools, features, programs, websites, software, and any other products or services offered by WEEX to facilitate your activities as a Merchant. These services are intended to assist you in processing transactions on the WEEX Platform.
(c) All capitalised terms used but not defined herein shall have the meaning ascribed to them in the Terms of Use and the P2P Terms.
2. Changes to the P2P Merchant Agreement
(a) We are constantly improving the Merchant Services and may occasionally update or modify this P2P Merchant Agreement. We reserve the right to modify this P2P Merchant Agreement at any time and for any reason, without prior notice to you. The updated version of the P2P Merchant Agreement will become effective immediately upon being published on our website, with the "Last Updated" date displayed at the top of the P2P Merchant Agreement. By continuing to use the Merchant Services, you acknowledge and accept the revised P2P Merchant Agreement. If you do not agree with the changes, you must discontinue using or accessing the Merchant Services.
(b) You acknowledge and accept that WEEX may launch other new products and services for Merchants, or adjust and upgrade the existing products and services provided at any time following changes in this P2P Merchant Agreement or any other Terms. Please refer to our website's service and product page for information on specific service updates.
3. Role of a Merchant
(a) A Merchant is a verified, high-volume participant who acts as a liquidity provider on the Platform. Unlike regular Users, who may engage in limited buying or selling activities, Merchants are expected to:
i) publish both buy and sell advertisements consistently;
ii) maintain higher trading capacity sufficient to meet market demands;
iii) offer more flexible and competitive pricing to attract takers; and
iv) ensure quick and reliable order fulfillment in accordance with WEEX’s service standards.
(b) Merchants are considered critical participants forming the backbone of the Platform’s liquidity and are generally prioritized and made more discoverable to the Users.
(c) Merchants are required to review and approve deposit requests (where Users deposit Digital Assets or fiat currency into their wallet) and withdrawal requests (where Users withdraw fiat currency to their Payment Method or Digital Assets) within a specified period, ensuring proper verification before approval.
4. Registration as a Merchant
(a) By registering as a Merchant on the Platform, you may gain access to additional services offered by WEEX, such as processing deposit and withdrawal requests for other Users, enjoying reduced fees or costs, or receiving other benefits as determined solely by WEEX. If you apply for Merchant registration, you acknowledge and agree that you will need to submit further documentation and information for verification and registration, beyond what is required for general User registration. This may include, but is not limited to: your phone number, WeChat and Telegram accounts, proof of revenue, prior experience trading on this Platform or other OTC/P2P exchanges, screenshots or evidence of your “Merchant” (or equivalent) status on other platforms, key trading metrics such as trading volume, feedback scores, and completion rates, details of your risk control strategies, and any other materials WEEX deems necessary or as required under applicable law.
(b) As part of the Merchant registration process, WEEX may temporary lock on a portion of the Digital Assets in your account, designating them as a “security deposit” to help ensure the security of the transactions you participate in. These locked assets will be unavailable for transfer or withdrawal during your transactions and/or for as long as you maintain Merchant status. You acknowledge and agree that if WEEX determines you, as a Merchant, are liable for any damages, losses, or other payments arising from your transactions and you refuse or fail to pay, WEEX may apply part or all of your security deposit to cover such amounts owed to third parties, in accordance with this P2P Merchant Agreement and applicable law. Importantly, the use of your security deposit does not in any way limit or discharge your broader liability to WEEX, Users, or third parties. WEEX may deduct from the Security Deposit at any time without prior notice in the event of regulatory breaches, unresolved disputes or chargebacks or any investigations.
(c) After you complete the registration as a Merchant, we will provide you with a Merchant badge, visible on your Account, to distinguish you from other Users who have not completed the registration as Merchants.
(d) After becoming a qualified Merchant, you'll be authorized to post advertisements, enabling you to conduct transactions more easily and flexibly.
(e) You can apply to WEEX to cancel your Merchant status. Once submitted, WEEX will process your cancellation and release your security deposit, provided there are no outstanding disputes or negative records.
(f) The Merchant must guarantee that all content, materials, and information used for advertising or promotion on the Platform are accurate, not misleading, and adhere to relevant laws, regulations, and the Platform’s content policies. WEEX reserves the right to request changes or reject any content it considers inappropriate, unlawful, or non-compliant with these standards.
(g) Upon successful registration, Merchants enjoy the following advantages:
(i) Functional Benefits: the ability to post both buy and sell advertisements, access to advanced Merchant-only dashboard tools, priority placement of advertisements for higher visibility, and eligibility for special promotions and premium customer service;
(ii) Transactional Limits: higher advertisement limits, including up to five (5) buy and five (5) sell ads simultaneously (compared to two (2) ads for regular Users); increased maximum volume per advertisement (up to USD 100,000 per ad compared to USD 10,000 for regular Users); and the ability to manage up to twenty (20) active orders at a time, while regular Users are limited to five (5); and
(iii) Special Merchant Features: access to premium advertisement tools designed for optimization and filtering to enhance trading effectiveness.
5. Merchant conduct and responsibility
a) Merchants primarily interact with regular Users by:
(i) providing liquidity to fulfill buy and sell orders;
(ii) offering reliable, timely, and professional trade execution;
(iii) attracting Users through competitive pricing, flexible terms, and maintaining high trust ratings;
(iv) acting as counterparties in most P2P transactions initiated by retail Users on the Platform.
b) By using the WEEX P2P service as a Merchant, you acknowledge and agree to:
(i) Consistently act with honesty and professionalism;
(ii) Treat others fairly, with integrity, and respect;
(iii) Ensure your advertisements, including price and quantity, are accurate before posting;
(iv) Process payments, release tokens, and respond to Users quickly. Only accept payments via methods you have advertised or those supported by WEEX P2P;
(v) Do not cancel orders without reason or make malicious appeals. Contact Users to resolve issues before appealing;
(vi) Do not use “WEEX,” bank names, Payment Method names, or other sensitive terms in your Username on the Platform;
(vii) Only communicate with Users through the Platform and refrain from communicating through third-party channels such as social media, chat messaging apps, or face-to-face trading.
6. Merchant conduct and transaction requirements
(a) All your Payment Methods must have the same name as the one used during identity verification with WEEX.
(b) Trading with Users outside the WEEX P2P Platform is strictly forbidden. WEEX is not liable for any transactions conducted privately or outside the Platform. Such actions are at the sole risk of the Merchants and Users.
(c) You must not include personal contact information (e.g., social media or messaging apps) in your advertisement, trading terms, auto-replies or any communication with other Users.
(d) You must only communicate with Users through the Platform. It is prohibited for Merchants to communicate with Users through any third-party channels such as social media, chat messaging apps, or face-to-face trading.
(e) Including external links in your trading terms, auto-replies, or directing Users to external communication channels via chat is strictly forbidden. WEEX only facilitates transactions on the Platform and is not liable for any external links or activities.
(f) The use of third-party payment processors or payment providers is strictly prohibited. You must use only personal or corporate means of payments and accounts registered under your verified name for transactions.
(g) Splitting fiat payments across multiple transfers is not allowed. Each transaction must exactly match the agreed order amount. Partial transfers or multiple payments for a single order are strictly prohibited unless explicitly requested and approved by the User.
(h) If a payment is not released within the allowed timeframe of assets being transferred, the Merchant may click on "Appeal" (or any other similar options) and immediately contact the customer service.
(i) The Merchant is prohibited from making small money transfers to the User's Payment Methods or financial accounts for testing without the User's consent. Such actions may lead to the Merchant's disqualification.
(j) The use of Abusive, threatening, or disrespectful language is prohibited. You must maintain professionalism in all communications.
(k) If any suspicions occur during a transaction, you should request additional identity verification from the User. If the User declines to provide further information, contact WEEX Customer Support for assistance.
(l) If a User reports that their means of payment or account has been frozen after receiving payment from you, you must cooperate with WEEX and provide all required evidence.
(m) If a Merchant’s Payment Method or account is frozen, the Merchant must contact WEEX Customer Support promptly, provide all requested information regarding the frozen Payment Method or account, and submit reasonable evidence linking the freeze to Platform-related transactions.
(n) If a User’s Payment Method or account is frozen after receiving payment from the Merchant, the Merchant must actively cooperate with WEEX staff to provide evidence and assist in resolving the matter.
(o) You are strictly prohibited from engaging in any transactions involving illegal funds. The source and purpose of all assets used in P2P transactions must be legal, with no suspicion of money laundering, criminal activity, or other illegal activity.
(p) If you bring illegal digital assets or illegal funds into WEEX, resulting in legal risks or loss of assets for WEEX and its Users, WEEX reserves the right to immediately disqualify you, ban all of your activities, confiscate your security deposit, freeze your assets and report your activity to the competent authorities and regulators. Additionally, WEEX reserves the right to pursue compensation for any direct or indirect losses incurred as a result of your actions. You agree to indemnify WEEX against all direct, indirect, special, and consequential losses or damages arising therefrom.
(q) You acknowledge and agree that all intellectual property rights related to the Platform, including but not limited to trademarks, service marks, logos, trade names, and proprietary technologies, are owned exclusively by WEEX or its licensors. Nothing in this Agreement shall be construed as granting the Merchant any license or right to use such intellectual property except as expressly authorized in writing by WEEX.
(r) The Merchant grants WEEX a non-exclusive, royalty-free, worldwide license to use, reproduce, display, publish, and distribute any advertising materials, logos, trademarks, or other content provided by the Merchant for purposes of fulfilling the advertising or promotional services under this P2P Merchant Agreement.
(s) Merchants must ensure that all payments made or received are linked to accounts that match the verified identity registered on the Platform.
(t) If a User’s payment or receiving account has not passed identity verification, the Merchant may request the User to cancel the order. If payment has already been received from such an account, the Merchant may return the funds to the sender and request the User to cancel the order.
(u) The Platform reserves the right to cancel or reject orders if KYC identity mismatches are detected.
7. Merchant disqualification
(a) To maintain a secure, fair, and transparent P2P trading environment, WEEX reserves the right to disqualify any Merchant who breaches WEEX Platform rules. Reasons for disqualification may include, but are not limited to:
i) Not cooperating with WEEX Support during dispute resolution, such as repeatedly ignoring requests for information or assistance.
ii) Imposing hidden charges, unauthorized fees, or requiring Users to pay more than what is clearly stated in the advertisement.
iii) To use means of payment not under your name, to rent, buy or sell means of payments or other accounts in order to perform P2P transactions.
iv) Encouraging Users to trade or communicate outside the WEEX Platform.
v) Mishandling, sharing, or abusing Users’ private information, such as names, contact information, or banking data.
vi) Spreading misleading, false, or damaging information that may negatively impact User trust in WEEX.
vii) Taking advantage of technical issues or unfair tactics to gain an advantage over other Merchants, Users or WEEX.
viii) Using multiple WEEX accounts to manipulate trades, monopolize the market, or block other Users.
ix) Receiving excessive negative reviews, low ratings, or unresolved complaints from Users. The amount of negative reviews, low ratings and complaints resulting in disqualification being determined by WEEX.
x) Engaging in disrespectful, offensive, or abusive communication on the WEEX Platform, including in chats, appeals, or support channels.
xi) Participating in market manipulation, insider trading, price fixing, coordinated trading, or other activities that disrupt fair market conditions.
xii) Remaining inactive for extended periods or consistently maintaining low trading activity.
xiii) Having a low order completion rate, frequent disputes, excessive complaints, or slow response times.
xiv) Submitting false or misleading information during the Merchant application process;
xv) Purchasing or using other Users’ account information for transactions;
xvi) Utilizing Payment Methods or accounts that have been banned, gagged, or blacklisted on other platforms for violations such as money laundering;
xvii) Spreading malicious rumors or false information about WEEX on social media or other channels.
(b) WEEX has the sole discretion to disqualify Merchants based on their behavior, internal risk assessments, and User feedback. All Merchants must adhere to Platform rules and ensure a safe, compliant, and professional experience for all Users.
(c) The Merchant hereby acknowledges and agrees, that to the furthest extent admissible by law, in addition to warnings, suspensions, disqualifications, and confiscation of security deposits, WEEX reserves the right to impose monetary fines on Merchants who commit serious or repeated violations, including but not limited to those listed under this section. The amount and conditions of such fines shall be determined solely by WEEX in accordance with the severity of the violation and applicable Platform policies.
(d) All advertising content submitted by the Merchant must undergo WEEX’s review and approval before publication. WEEX reserves the right, at its sole discretion, to approve, reject, suspend, or remove any advertisement or promotional material without prior notice to the Merchant, including for actual or suspected violations of applicable laws, regulations, or any WEEX terms and policies.
(e) WEEX may suspend or terminate the Merchant’s participation immediately without prior notice if WEEX determines, at its sole discretion, that the Merchant poses regulatory, legal, or reputational risk. No cure period shall apply in such cases.
8. Merchant Penalties & Violations
(a) WEEX enforces strict guidelines to maintain a secure and fair P2P trading environment. You acknowledge and accept that the following violations and behaviors can result in various penalties. These violations by the Merchant may include, but are not limited to:
i) Failure to provide an effective Payment Method promptly, leading to an appeal;
ii) Marked "Payment Completed" before actually making the payment;
iii) Unresponsive to appeals (≥ 3 times per week);
iv) Making payments from accounts or means of payment that do not match the verified name on WEEX, leading to an appeal;
v) Use of unauthorized means of payment or payment providers for transactions
vi) Receiving a large number of negative feedback from Users;
vii) The User's bank account or Payment Method is frozen due to receiving funds from the Merchant, and the Merchant fails to cooperate with WEEX within the given timeframe;
viii) WEEX's risk control system detects an abnormality, and the Merchant refuses or fails to cooperate with WEEX for investigation;
ix) WEEX's risk control system detects that the Merchant uses other accounts to wash trades and block other Merchants' advertisements intentionally.
(b) As a consequence of the aforementioned violations and behaviors by the Merchant, WEEX may impose the following penalties or restrictions on the Merchant account. These penalties may include, but are not limited to:
i) Warning;
ii) Trading Suspension;
iii) Advertisement Suspension;
iv) Disqualification;
v) Confiscation of Security Deposits;
vi) Account ban.
(c) WEEX has the exclusive authority to decide, impose, and adjust any penalties, restrictions, or corrective actions on the Merchant’s account for any actual or alleged breach of the Terms of Use or applicable policies. The Merchant agrees that WEEX’s decisions are final and binding.
(d) The imposition of any penalties, restrictions, or other measures by WEEX under this P2P Merchant Agreement shall be without prejudice to, and shall not limit or exclude, WEEX’s right to seek indemnification, damages, or any other legal or equitable remedies available under applicable law, this Agreement or other Terms.
9. Warranties and Representations
(a) Supplemental to and without prejudice to the warranties and representations which may have been made by Parties in the Terms of Use and other applicable terms and rules issued by WEEX, you hereby give the following warranties and representations to WEEX that:
(i) You have read and are fully capable to understand this P2P Merchant Agreement and agree to be legally bound by the same;
(ii) You are fully aware and have evaluated all the risks sufficiently which may arise in the P2P Transactions. By proceeding to issue Instructions or by deciding to proceed with each P2P transactions, you agree to bear the risks solely;
(iii) You are acting in your sole capacity and will be making only independent decisions when entering into P2P Transactions without reliance whatsoever to WEEX’s statements, communications and/or explanations which may have been provided in regards of the P2P Transactions;
(iv) You are not restricted, barred or otherwise prohibited in entering into any P2P Transactions under any applicable law and regulation and/or by any of the Relevant Authorities. In the event of misrepresentation and/or breach of warranty by you, you undertake to fully indemnify and save harmless WEEX from all demands and claims arising from and incidental thereof;
(v) You shall not use the Service for any unlawful purposes, including but not limited to illegal gambling, money laundering, fraud, extortion, data breaches, terrorist financing, violent activities, or any other business activities prohibited by law;
(vi) You shall not engage in, initiate, or promote any form of market manipulation, price manipulation, pump and dump, wash trading, front-running, insider trading, market distortion, or any other malicious conduct affecting the market, nor shall you participate in any other illegal activities, including but not limited to illegal gambling, money laundering, fraud, extortion, data breaches, terrorist financing, violent activities, or any other business activities prohibited by law;
(vii) if you are registering for the Service in your personal capacity, you must be at least eighteen (18) years old, possess full civil rights and capacity, and have all necessary authority and ability to enter into this P2P Merchant Agreement, which shall be binding upon you once accepted;
(viii) if you are registering to use the Service on behalf of a legal entity, you represent and warrant that such entity is duly organized, validly existing under applicable law, and that you are duly authorized to act on its behalf and to bind it to this P2P Merchant Agreement;
(ix) this P2P Merchant Agreement does not conflict with the laws of your country or region, and you undertake to comply with all applicable laws and regulations of your jurisdiction;
(x) you are the lawful owner of all Digital Assets in your WEEX Account and guarantee that the sources of these Digital Assets are lawful.
(xi) You warrant that: (1) you comply with all applicable AML, KYC, CFT, and sanctions regulations; (2) you are not owned or controlled by, or acting on behalf of, any individual or entity subject to OFAC, UN, or EU sanctions; (3) All funds used or received via the Platform are of lawful origin and not linked to illegal activities; and (4) you will cooperate with WEEX's compliance checks upon request.
(xii) This P2P Merchant Agreement has been drafted in English. Although translations in other languages of this P2P Merchant Agreement may be available, such translations may not be up to date or complete. Accordingly, you agree that in the event of any conflict between the English language version of this P2P Merchant Agreement and any other translations thereof, the English language version shall prevail.
(xiii) The Merchant agrees to fully cooperate in the event of any investigation, audit, customer dispute, regulatory inquiry, or legal action related to its use of the Platform. Failure to provide requested documents within 3 days may result in immediate account suspension or termination.
10. Disclaimers
(a) You have been made aware of the risks that may result from entering into P2P Transactions and/or using any of the P2P Services and agree, in absence of bad faith and fraud, to the full assumption of loss and liability resulting from or incidental to such use.
(b) You acknowledge, agree and accept that:
(i) WEEX does not guarantee the liquidity in any Digital Asset and that WEEX does not have any control over the liquidity of such Digital Asset;
(ii) WEEX may exercise its rights under any of this P2P Merchant Agreement to amend, vary, cancel or otherwise reverse any of the P2P Transactions (and this may cause the dissipation of Digital Assets in your Account);
(iii) If you fail to adhere to the Trading Limits, WEEX may invoke its rights under this P2P Merchant Agreement hereof and this may cause loss to you;
(iv) There is a possibility of Manifest Errors in the P2P Transactions and possibility that there could be delay or failure in transmission of Instructions, Orders or execution through the platform or the agreed communication means; and
(v) The nature of P2P transactions concerns numerous risks and volatility and losses can result from the same.
(vi) As P2P transactions are conducted directly between two users, Buyers and Sellers are matched on the WEEX Platform, and both parties are required to verify their identities through real-name authentication.
(vii) Your use of the P2P Service, and any information, materials, or other content (including that of third parties) included in or accessible through the P2P Service, is entirely at your own risk. WEEX’s sole responsibility is to facilitate the Digital Asset transaction processed on the WEEX Platform. All payments are final upon completion unless otherwise required by law. WEEX has neither the right nor the obligation to resolve any dispute or claim arising from a completed payment and shall not be liable for any losses resulting from or related to a completed payment.
(viii) WEEX retains full discretion over the placement, positioning, and display of advertisements or promotional content on the Platform. WEEX makes no guarantees regarding the visibility, ranking, or performance of any Merchant advertisement or promotional material.
(ix) The Buyer or Seller may contact you directly to verify your identity or to request additional information necessary to confirm the transaction and/or payment. Such communications or exchanges of information may occur outside the WEEX Platform and are not managed or controlled by WEEX. WEEX shall not be responsible for any losses you may incur as a result of such communications between you and the Buyer or Seller.
(x) Third parties, including but not limited to verification service providers, escrow agents, payment providers, custodians, and/or banking partners, may be involved in any P2P Service or transaction. You may be subject to the terms and conditions imposed by these third parties. WEEX shall not be liable for any losses arising from or related to the involvement or actions of any such third parties.
(xi) All data collected, processed, and stored in connection with the use of our P2P services shall be handled in strict accordance with our WEEX Privacy Policy available on the Platform. This includes, but is not limited to, personal information, transaction details, and any other data provided by users during their interaction with our services.
(c) Technology Disclaimers. You acknowledge and agree that:
(i) WEEX may, from time to time, suspend access to your WEEX accounts, the WEEX Platform, the Service, and/or any other WEEX services for scheduled or emergency maintenance. WEEX will use reasonable efforts to ensure that transactions on the WEEX Platform are processed in a timely manner; however, WEEX makes no representations or warranties as to the duration required to complete such processing, as this is subject to numerous factors beyond WEEX’s control.
(ii) While WEEX endeavours to keep the information on the WEEX Platform current, WEEX makes no representations, warranties, or guarantees, whether express or implied, that the content on the WEEX Platform—including information relating to the Services and any other WEEX services—is accurate, complete, or up to date.
(iii) You are solely responsible for obtaining the necessary data network access to utilize the Services or any other WEEX services. You are also responsible for procuring and maintaining compatible hardware or devices required to access and use the Service, any WEEX services, the WEEX Platform, and any related updates. WEEX does not guarantee that any of its services, or any portion thereof, will function on any specific hardware or devices. The WEEX services may be subject to malfunctions and delays that are inherent in the use of the internet and electronic communications.
(d) Risk of trading in cryptocurrency. Trading in cryptocurrency involves significant risk and may result in the loss of your invested capital. It is a high-risk activity and may not be suitable for the general public, as the prices of cryptocurrency are subject to sharp, speculative swings. You must ensure that you fully understand the risks involved and take into consideration your level of experience, investment preference, risk appetite, investment objectives, and financial circumstances, and you should seek independent financial advice if necessary. If you do not agree with or understand WEEX P2P Services, please do not use or access our products or services. You acknowledge, agree, and accept that you assume all risks and potential losses associated with your use of the P2P Service, including but not limited to: any loss resulting from your inability to trade Digital Assets, and you are willing to bear the funding risks and possible financial losses arising from depositing Digital Assets and subscribing to the Service; the possibility that high price volatility of digital assets and their derivatives may lead to significant or total losses within a short period; the occurrence of technical anomalies that may delay or prevent your use of the P2P Service or execution of related transactions, potentially resulting in losses of your digital assets; the risk of market anomalies that may cause losses to your digital assets; and the understanding that, in order to maintain the overall health of the market, WEEX may, at its sole discretion, add, remove, or amend policies, the terms of this P2P Merchant Agreement, or other relevant service agreements or terms from time to time, and such changes may either benefit or adversely affect individual customers, including yourself.
(e) You acknowledge that WEEX reserves the right to freeze or suspend your account and associated assets pending investigation if there is (a) any unusual transaction patterns are detected; (b) a request from a competent authority; or (c) you are subject to criminal or regulatory investigation.
11. Prohibited Conduct and Enforcement Measures
(a) You acknowledge and agree that WEEX strictly prohibits any form of unfair trading practices. WEEX reserves the right to exercise control over your account, including the suspension or termination of your account, should you engage in any of the following activities:
(i) Market manipulation, price manipulation, insider trading, market distortion, or any other malicious or wrongful conduct;
(ii) Causing harm to other Users or to WEEX by exploiting vulnerabilities in the Service or through other unreasonable means;
(iii) Participating in activities that WEEX deems detrimental to the market;
(iv) Violating any applicable laws or regulations.
(b) To mitigate any adverse impact on the overall market, WEEX retains the sole discretion to take such measures as it deems appropriate, including but not limited to closing your account, restricting your activities, or cancelling your orders. You understand and agree that WEEX shall not be liable for any losses (including, without limitation, direct or indirect losses, actual losses, or loss of potential profits) that you may incur as a result of the implementation of these measures.
(c) You acknowledge and agree that WEEX reserves the right to disclose your contact information to any regulatory authority and/or law enforcement agency in the event that WEEX has reasonable grounds to suspect that your WEEX Account is being utilized for any illegal, fraudulent, or unauthorized activities.
12. Indemnification
(a) In addition to any indemnity obligations set forth in the Terms of Use, you shall take all reasonable measures to protect WEEX from any damages arising from your use of the P2P Service or from any other actions related to your WEEX Account. Should you fail to do so, you shall be liable to WEEX.
(b) You hereby agree to defend, indemnify, and hold harmless WEEX from and against any demands, claims, losses, and/or damages (including legal fees and any fines, fees, or penalties imposed by any regulatory authority) asserted or incurred by any third party against WEEX directly or indirectly, as a result of, or arising out of, your breach of this P2P Merchant Agreement, your improper use of the P2P Service, your violation of any law or the rights of any third party, and/or the actions or omissions of any third party to whom you grant permission to use your WEEX Account or to access our website, software, systems (including any networks and servers used to provide any of the P2P Services) operated by us or on our behalf, or any of the P2P Services on your behalf. WEEX retains sole discretion to control the defense and settlement of any indemnified claim. This indemnity survives termination.
(c) Except in cases of gross negligence, willful misconduct, or fraud, WEEX’s total liability to the Merchant shall not exceed the amount of service fees received from the Merchant in the preceding 3-month period. This limitation shall not apply to claims for indemnity, IP infringement, or regulatory violations.
